01Retainer & booking

A non-refundable retainer of 50% of the session fee is due at signing to reserve the Client's date and services. The date and time are not held until both the signed agreement and the retainer are received. The retainer is non-refundable under all circumstances, including cancellation or rescheduling by the Client, because it compensates Saint's Touch Photography LLC for reserving the date and turning away other bookings.

02Balance & accepted payment

The remaining balance is due on or before the session date unless a written payment schedule states otherwise. Saint's Touch Photography LLC accepts the payment methods shown on the invoice. Final edited images and galleries are released only after the balance is paid in full.

03Late payment

Any balance not paid by its due date may incur a late fee of $50 plus interest of 1.5% per month (18% per year) on the outstanding amount until paid. Galleries and files will not be released while a balance remains outstanding.

04Cancellation, rescheduling & kill fee

If the Client cancels at any time, the retainer is forfeited. Cancellations within 14 days of the session, or a no-show, remain responsible for the full session fee (the “kill fee”). One reschedule is permitted with 7 or more days' written notice, subject to availability, and the retainer carries over to the new date. If Saint's Touch Photography LLC must cancel for any reason, the Client's sole remedy is a reschedule or a refund of amounts paid, at the Client's choice.

05Copyright & licensing

Saint's Touch Photography LLC retains full copyright of all images and video produced. The Client receives a personal-use license to print the images and share them on personal social media accounts. Any commercial use, including advertising, brand or product promotion, or paid distribution, requires a separate written license from Saint's Touch Photography LLC.

06Portfolio & likeness release

Unless the Client requests otherwise in writing before the session and Saint's Touch Photography LLC agrees, the Client grants Saint's Touch Photography LLC the irrevocable right to use the images and video for portfolio, website, social media, advertising, competitions, and other promotion. Saint's Touch Photography LLC retains copyright in all work at all times.

07Limitation of liability

Saint's Touch Photography LLC's total liability under this Agreement, for any cause, is limited to the total amount actually paid by the Client. Saint's Touch Photography LLC is not liable for any indirect, incidental, or consequential damages. If images are lost or damaged due to equipment failure, data loss, or other causes beyond Saint's Touch Photography LLC's reasonable control, liability is limited, at Saint's Touch Photography LLC's discretion, to a refund of amounts paid or a re-shoot of comparable scope.

08Image backup & gallery access

Saint's Touch Photography LLC keeps reasonable backups but does not guarantee permanent storage. Galleries remain available online for 60 days after delivery; the Client is responsible for downloading and backing up their files within that period. Retrieval of archived files afterward, if available, may incur a fee.

09Delivery & turnaround

Edited images are delivered through a private online gallery within 30 days of the session. The number of images delivered is at Saint's Touch Photography LLC's discretion. Rush delivery may be available for an additional fee.

10Editing & artistic style

All images are edited in the signature style of Saint's Touch Photography LLC, which the Client's booking reflects an appreciation of. Additional or specialized editing may incur a fee. RAW / unedited files are not included or released. The Client may not substantially alter, re-edit, or apply third-party retouching to delivered work without written consent.

11Client cooperation & conduct

The Client is responsible for obtaining any permits, venue permissions, and access required, and for the timeliness and conduct of all participants. Saint's Touch Photography LLC is not responsible for moments missed due to circumstances outside its control. Saint's Touch Photography LLC may pause or end a session, without refund, if faced with unsafe, threatening, or abusive conditions.

12Weather & force majeure

In the event of severe weather, illness, or other circumstances beyond either party's reasonable control, the session will be rescheduled at no additional charge and the retainer carries over in full. Neither party is liable for failure to perform caused by such events.

13Indemnification

The Client agrees to indemnify and hold Saint's Touch Photography LLC harmless from third-party claims arising out of the session, including injury to persons or property and claims by individuals photographed, except to the extent caused by Saint's Touch Photography LLC's gross negligence or willful misconduct.

14Reshoots

If the Client is dissatisfied with the results, a reshoot may be arranged at Saint's Touch Photography LLC's sole discretion. A reshoot is the Client's exclusive remedy for dissatisfaction and does not entitle the Client to a refund.

15Governing law

This Agreement is governed by and construed under the laws of the State of Washington, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state courts located in Washington.

16Entire agreement & severability

This document is the entire agreement between the parties and supersedes any prior understandings. Any changes must be in writing and signed by both parties. If any provision is found unenforceable, the remaining provisions stay in full effect. Failure to enforce a provision is not a waiver of it.

17Commercial license

Commercial bookings carry this license in place of the personal-use license in the Copyright & licensing clause:

Saint's Touch Photography LLC retains full copyright of all images and video produced. The Client is granted a license to use the delivered images and video for the Client's own commercial and promotional purposes, including advertising, social media, websites, and press. Saint's Touch Photography LLC retains the right to use the work for portfolio and self-promotion. The Client may not resell or sublicense the work to third parties without written consent.
